Safety Requirements for Operators
Unit Load
The Carrier will arrive at the loading site at the place, time, and manner indicated, and undertakes to begin transportation within the timeframe, routes, terms, and conditions indicated in the Rate Confirmation.
The Carrier agrees to turn off the vehicle's engine while loading maneuvers are being carried out.
The Carrier agrees to immobilize the vehicle prior to loading by placing chocks.
The Carrier agrees to provide the Client's personnel with the vehicle key to ensure that it is immobilized during loading maneuvers.
Loading Maneuvers
The Carrier must ensure that they check and confirm whether the contracted transportation service includes or excludes loading maneuvers and their respective conditions.
If the contracted transportation service includes loading maneuvers, the Carrier will be solely responsible for carrying out said loading, and therefore any damage to the Client's equipment or facilities will be the Carrier's responsibility.
The risk of loss or damage to the goods will remain with the Carrier until confirmation of delivery to the Client.
If the Client is responsible for loading the goods and causes any damage to the Carrier's equipment during loading, the Client will be responsible for the cost of the corresponding repairs. In order to implement this guideline, the Carrier must immediately formally notify Fr8App of this situation so that the corresponding procedures can be initiated.
Accrual and Approval of Accessories
Payments for extraordinary costs due to maneuvers, infractions, delays, or any service requirements necessary for the continued provision of the Services that are not included in the rates agreed upon in the Rate Confirmation of shipment:
- Must be reported within 24 hours of accrual.
- They are subject to written request and approval by Fr8App.

Dispatch and Assignment
The Carrier agrees to submit the operator and unit assignment schedule to Fr8App in a timely manner, allowing sufficient time for this information to be entered into the system and analyzed by our teams to ensure the monitoring and safety of the shipment en route.
Fr8App has a Carrier Internal Audit Program (PAIC), which constantly conducts random audits of active shipments in the system. Various parameters are unannounced to guarantee our carrier base. Correct dispatch and its faithful execution according to the data provided are among the elements audited.
In the event that the Carrier fails to comply with any of the provisions set forth in this clause, the Carrier shall be liable for any loss, damage or harm to Fr8App and its Clients during the contracted Service, taking into account the value of the merchandise and materials transported and the Carrier expressly waiving any liability limits, including but not limited to those set forth in article 66 of the Federal Law on Roads, Bridges and Federal Motor Transport.
Locks, Seals and their Evidence
The Carrier must follow our guidelines on Fleet Security Equipment.
The Carrier must ensure that the cargo has the necessary locks and straps and is properly sealed after loading the unit.
The Carrier must capture evidence of this and share it with Fr8app before the start of its route, as an essential part of the Green Light for Departure process.

In the event that the Carrier fails to comply with any of the provisions set forth in this clause, the Carrier shall be liable for any loss, damage, or harm to Fr8App and its Clients during the contracted Service. The Carrier shall consider the value of the merchandise and materials transported, and the Carrier expressly waives any liability limits, including but not limited to those set forth in Article 66 of the Federal Law on Highways, Bridges, and Federal Motor Transport.
Route Documentation
Bill of Lading
The Carrier is responsible for ensuring that the Bill of Lading corresponding to each trip is issued and sharing them in a timely manner with Fr8App.
These Bill of Lading must comply with all the requirements established in the Commercial Code and in applicable tax provisions and laws.
In any case, the Bill of Lading must contain:
- Reference to the Fr8App Service Order number/Load ID.
- Reference to the Client's Service Order number/Load ID, if requested.
- Details of the person who will receive the merchandise.
- Description, type, and quantity of merchandise to be transported.
For trips made at borders or import ports, the Bill of Lading must be accompanied by the corresponding import customs clearance forms, duly stamped by the destination units.
For trips involving special handling waste, the Bill of Lading must be accompanied by the corresponding special handling waste cargo manifest.

The Carrier shall consider the value of the merchandise and materials transported, and the Carrier expressly waives any liability limits, including but not limited to those set forth in Article 66 of the Federal Law on Highways, Bridges, and Federal Motor Transport.
Bill of Lading Supplement
The Carrier must include the Bill of Lading Supplement to the service receipt for each applicable trip, in accordance with the Federal Tax Code, the rules of the current Miscellaneous Tax Resolution, and other applicable provisions. These supplements must include the Service Order number/Load ID of Fr8App, and/or the Client, if requested.

Special Handling Waste
In the event that the Services involve the collection and/or transportation of waste considered to require special handling in accordance with applicable regulations, the Transporter must have the following documents:
- Current registration, authorization, and/or permit, or its renewal as a Service Carrier for the collection and transportation of special handling waste, granted by the corresponding authority of the entity and/or municipality, according to the territory(ies) where the Services will be provided.
- When Fr8App or the Client schedules the collection and transportation of special handling waste, the Carrier must provide Fr8App and/or the Client with the corresponding Special Handling Waste Cargo Manifest and complete a log of locations and stops, recording the quantities collected.
- Said manifest will be completed in two original copies, one of which will be delivered to the corresponding Delivery Point, and the second of which will be kept by the Carrier.

Non-compliance with Documentation for the Route
In the event that the Carrier fails to comply with the aforementioned requirements regarding the route documentation, Fr8App shall be authorized to refrain from paying the Bill of Lading and the invoice in question until the Carrier corrects the breach, without incurring interest on Fr8App's part.
The Carrier shall hold Fr8App harmless in the event of non-issuance, or any error or failure in the issuance of tax receipts, as well as Bill of Lading or Bill of Lading Supplements; in particular, but not limited to, it is obligated to reimburse any expenses or costs related to:
- the non-deductibility of expenses,
- the failure to accredit the Value Added Tax on Products;
- recovery and/or accreditation of ownership of the Products, in the event that they are retained by an authority.
Route Tracking
Route Design
The Carrier will prepare and inform Fr8App of the routes and delivery schedules for The Service.
This route must include authorized stops and comply with the lists of authorized, recommended, and prohibited stops provided by Fr8app and the Client, if such lists have been shared with the Carrier.
If the Client has shared a list of authorized, prohibited, or recommended stops, the Carrier will be responsible for including these stops in the designed route and ensuring that its operator:
- Knows the list of authorized, recommended, and prohibited stops.
- Respects the above.
- Follows the designed and approved route. This route must be shared with Fr8App prior to the start of transit.
The Carrier shall at all times be governed by and provide the Services in strict compliance with the Safety Protocol and the Stop List (if provided to it), acknowledging that it shall be responsible for and undertake to indemnify and hold harmless Fr8App from any loss, damage or impairment arising from or related to its failure to comply with said Protocol and said Lists.
Carrier GPS Equipment
The Carrier must have GPS in the vehicle and must ensure that said equipment is properly installed and functioning prior to making any trip assigned by Fr8App.
The Carrier must authorize the platform administrator to begin sharing the satellite tracking signal with Fr8App prior to loading the Shipper's merchandise.
The GPS signal must remain active throughout the entire journey, until Fr8App confirms to the Carrier that the Green Light of Arrival (GLAL) protocol is successful.
Expiring tracking links are not permitted for security reasons.
In the case of Dedicated Fleets, the satellite tracking signal must be shared with Fr8App twenty-four (24) hours a day, 365 days a year, for the purpose of strategically measuring and analyzing equipment turnover.

In the event that the Carrier fails to comply with any of the provisions set forth in this clause, the Carrier shall be liable for any loss, damage or harm to Fr8App and its Clients during the contracted Service, taking into account the value of the merchandise and materials transported and the Carrier expressly waiving any liability limits, including but not limited to those set forth in article 66 of the Federal Law on Roads, Bridges and Federal Motor Transport.
Fr8App GPS equipment
In the case of Dedicated Fleets and pre-established regular routes, upon prior agreement between the Parties, the Carrier agrees to the installation of satellite tracking devices and their accessories by Fr8App, or its designee, and acknowledges that they will remain the exclusive property of Fr8App.
In the event that such additional tracking devices are stolen or damaged due to causes attributable to the Carrier, the Carrier shall pay 100% of the device's value plus any damages resulting from such action.
Such equipment may include closed-circuit television (CCTV), georeferenced locks, or any other technological device or security element deemed necessary for the protection of the Client's merchandise. For this purpose, the Parties shall previously agree on the price, characteristics, and timeframe for the installation of such security equipment.
Internal Monitoring
The Carrier must have an internal monitoring team to track loads.
The Carrier must have its own response protocols, including recoveries in agreement with the corresponding authorities.

External Monitoring
Notwithstanding the foregoing, Fr8App will:
- Perform its own monitoring.
- It may contract external satellite tracking services at its own expense if it deems appropriate, for any or all of the Equipment.
GPS Equipment Failures
In the event of a visible failure of the satellite tracking equipment, the Carrier:
- Must notify Fr8app immediately upon detection of the failure.
- It undertakes to have its Collaborators download and install our mobile app, through which they can provide location information similar to the satellite tracking equipment.
- It must successfully re-pass the Fr8App Green Light to Exit (LVS) Protocol.
In the event that the Carrier fails to comply with any of the provisions set forth in this clause, the Carrier shall be liable for any loss, damage or harm to Fr8App and its Clients during the contracted Service, taking into account the value of the merchandise and materials transported and the Carrier expressly waiving any liability limits, including but not limited to those set forth in article 66 of the Federal Law on Roads, Bridges and Federal Motor Transport.
Contact During the Route
The Carrier agrees to provide Fr8app, prior to the start of the route, with the names, cell phones, and email addresses of all Collaborators involved in the services, including:
- The unit operator.
- The personnel responsible for coordinating the Teams, on all shifts applicable to the trip (day, afternoon, evening, weekend).
- The personnel responsible for managing, monitoring, and updating the satellite tracking platform, on all shifts (day, afternoon, night, weekend).
- The escalation contact(s) in the event of a security event.

In the event that the Carrier fails to comply with any of the provisions set forth in this clause, the Carrier shall be liable for any loss, damage, or harm to Fr8App and its Clients during the contracted Service. The Carrier shall consider the value of the merchandise and materials transported, and the Carrier expressly waives any liability limits, including, but not limited to, those set forth in Article 66 of the Federal Law on Highways, Bridges, and Federal Motor Transport.
Safety Requirements for Operators
Obligations for Operators
The Carrier is obliged to verify prior to the start of each trip, and therefore will be responsible for and guarantee that each of the Equipment Operator Collaborators and the Equipment comply with the following requirements:
- The Carrier undertakes to ensure that its Employees who operate the Equipment wear appropriate personal protective equipment at all times.
- The Carrier undertakes to ensure that the Equipment is not operated for more than 12 consecutive hours by the same operator.
- To possess, carry, and maintain a valid Federal Driver's License.
- For Dedicated Fleets, and if applicable, to possess, carry, and maintain a valid credential issued by the Client that identifies them as a "Reliable Operator" of the Carrier for the Client.
- For Dedicated Fleets, and if required for the Service, to maintain a valid credential, whether "Opalo," "R Control," or an equivalent certification authorized by the Client, at all times. If an operator loses this document, the Carrier must notify Fr8App within two (2) calendar days of the loss, so that the Client can communicate with them and process the Credential replacement process while the process for replacing the Credential is completed.
- Must have valid and available Equipment Registration Cards.
- Must have and carry valid vehicle verification receipts at all times.
- During their stay at the Client's facilities, they must carry proof of their social security number, wear safety equipment (at least closed-toe shoes and a reflective vest), and follow the Client's internal security protocols and policies at all times.
- Must wear the uniform, if applicable, and credentials that certify them as an employee of the Carrier.
- Not have ingested or consumed drugs, narcotics, medications that alter the nervous system, and/or alcoholic beverages during the twelve (12) hours prior to the start of the respective trip, and refrain from consuming them during the trip.

Attend the safety briefings provided by the company.
Have sufficient funds to cover all necessary expenses to complete the trip (e.g., toll booths, fuel, etc.). - Have the necessary fuel to properly provide the Service.
- Have a Nextel or cellular communication system.
- Navigate curves at no more than 60 km/h.
- Do not drive with the windows down when the truck is loaded.
- Travel with the locks activated at all times.
- Be aware of the location and use of the panic button.
- Be aware of the routes to follow and unauthorized stops.
- Report any incident immediately.
- Report any unexpected stops due to instructions from any apparent authority, emergency stops, or major incidents. Authorization must be requested from Fr8App and the Client in case of direct contact, before stopping the vehicle, and upon restarting.
- Respond to Fr8App and the Client's monitoring by providing real-time data.
- Upon arrival at the Delivery Point, once the vehicle has come to a complete stop, chock the vehicle's wheels and hand the keys to the Client's personnel to ensure it does not move.
In the event that any operator fails to comply with the aforementioned requirements, the Carrier shall be obligated to prevent them from operating the corresponding Equipment and, therefore, shall assign another operator to operate said Equipment. The Carrier shall be deemed to be in breach if, in violation of the foregoing, the Carrier allows a non-compliant operator to operate any of the Equipment, or if, having prevented the above, the Carrier has not found a replacement for the non-compliant operator.

Prohibitions for Operators
The Carrier is obliged to verify on each trip, and therefore will be responsible for and guarantee that none of the Operators will carry out the following:
- Operating the Equipment for more than 12 hours at a time.
- Carrying companions on the Equipment, unless the trip has been contracted with a dual operator.
- Allowing any person other than the dual operator, if applicable, to enter the Equipment cabin during the trip.
- Driving while drowsy.
- Operating the Equipment for periods longer than permitted by NOM087 or any subsequent regulation.
- Driving at speeds exceeding 90 km/hr, in accordance with applicable regulations.
- Violating vehicle registration or seals without prior authorization.
- Making unauthorized stops during the trip.
- Attempting to or carrying out transportation services for third parties other than Fr8App while providing the Service.
- Moving the vehicle while loading or unloading merchandise.
The Carrier will be liable for any losses, damages, and losses resulting from any operator engaging in any of the activities listed above.

Unreliable Operators
If any of the Carrier's operators assigned to a shipment have been identified by Fr8App or the Client as "Unreliable," the Carrier may not assign them to the shipment, and both Fr8app and the Client may refuse to accept said assignment.
If the Carrier terminates an operator due to incidents related to a Service provided to Fr8App, the Carrier shall be obligated to report this situation to Fr8App within two (2) calendar days following notification of the termination to the operator, along with the reason for the termination.
Safety Requirements for Units
The Carrier agrees to provide and maintain units with the following minimum safety equipment:
- Covered running boards;
- Mirrors protected by spikes, picks, and/or blades;
- Cabins without external handrails;
- Tires with a depth greater than or equal to 4 mm, properly inflated;
- Pneumatic and/or hydromechanical systems without leaks;
- Trailer or semi-trailer locking system in optimal condition (with no missing parts and operating at 100%),
- Welding on bolts and door hinges;
- Semi-trailer runners in good condition and operating at 100%;
- Bottle-type seals.
